Powersoft Buys Controlling Interest (51%) in K-array

Powersoft announced Thursday that it has signed a binding investment agreement to acquire a 51% stake in K-array. The agreement also grants Powersoft the option to purchase the remaining 49% of K-array’s shares. The transaction is expected to close by March 2025.

Strategic Vision

Powersoft CEO Luca Lastrucci called the acquisition a significant strategic move for both the company and the professional audio market.

“This transaction arises from a successful partnership between two companies that have been collaborating for many years now, with a strong territorial proximity and sharing a creative and innovative spirit, both convinced of the potential to create important product and technological synergies,” Lastrucci said. “We plan to enrich our portfolio with cutting-edge products, leveraging the expertise and resources of K-Array to develop new integrated audio solutions for an ever-evolving market.”

Alessandro Tatini, chairman and CEO of K-array, said the decision to integrate the company into Powersoft aligns with a vision for long-term growth.

“Massimo Ferrati (CEO and co-founder) and I decided on this strategic step to integrate our company into a solid and constantly growing group like Powersoft,” Tatini said. “Our intention is to empower our resources, now over 100 and among the most qualified on the market, for a promising future filled with opportunities and success.”

Acquisition Goals

The transaction aligns with Powersoft Group’s strategic development plan to strengthen its presence in the pro audio sector through both organic growth and acquisitions. It builds on a long-established supplier-customer partnership between the two companies, which share a focus on technological innovation, excellence, design, customer service and product quality.

By combining Powersoft’s expertise in amplification, signal processing and transducers with K-array’s specialization in compact, high-performance loudspeakers, the acquisition is expected to accelerate Powersoft’s expansion into new markets. The company aims to transition from a product-focused business to a full-scale solution provider, particularly in the transportation and automotive sectors, where efficiency and reliability in audio systems are critical.

Following the acquisition, Powersoft will continue operating as a global technology provider, while K-Array will maintain its distinct positioning in the high-end loudspeaker market.

The deal also marks a significant financial milestone for Powersoft Group. Based on financial statements as of Dec. 31, 2023, the combined companies are expected to achieve a pro-forma aggregate turnover of approximately €88 million, with an estimated pro-forma EBITDA nearing €24 million. The group will now include about 300 industry professionals.

The acquisition is expected to bolster Powersoft’s competitive edge, enhancing its ability to deliver innovative, efficient and space-optimized audio solutions to meet evolving industry demands.
